Please read these Terms and Conditions (“Terms”, “Terms and Conditions”, or “Agreement”) carefully before using the menspro.com and mensprohealth.com websites and related online services and clinic digital properties (the “Service”) operated by Menspro Health (“us”, “we”, or “our”).

By accessing or using the Service, including by clicking any “I agree” button, checking a box to indicate acceptance, or using any other acceptance protocol presented through the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree with these Terms, you may not use the Service.

1. Acceptance of Terms and Eligibility

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms and all applicable laws and regulations. These Terms apply to all visitors, users, and others who access or use the Service.​

By accessing or using the Service, you represent and warrant that:

  • You are at least eighteen (18) years of age and the age of majority in your state of residence.
  • You will only use the Service while physically located in a U.S. state where Menspro Health makes the Service available (currently Tennessee, Texas, Alabama, Florida, and Ohio for clinical services).
  • You have full power and authority to enter into this Agreement and to abide by all of its terms.

If you do not meet all of these requirements, you must not access or use the Service.​

The Service is continually under development, and we reserve the right to revise or remove any part of the Service or these Terms at any time. Any changes are effective upon posting the updated Terms to the Service, unless otherwise required by law. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.​

2. No Emergency Care

THE SERVICE IS NOT APPROPRIATE FOR EMERGENCIES OR ALL MEDICAL CONDITIONS. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR SEEK IN-PERSON EMERGENCY CARE IMMEDIATELY.

Do not delay seeking in-person care based on any information or services you obtain through the Service.

3. Relationship with Menspro Health and Providers

Menspro Health operates a hybrid model that includes both telehealth and in-clinic services. Through the Service, you may be connected with independent medical groups and licensed healthcare providers (“Providers”) who deliver clinical services, including evaluations, diagnoses, and treatments.

Menspro Health itself is not a medical group, hospital, or physician practice, and does not practice medicine. Any professional medical services you receive are provided by independent medical groups and Providers, who are solely responsible for the medical care they deliver.

By using the Service, you may enter into a provider-patient relationship with one or more Providers or a medical group, but you are not entering into a provider-patient relationship with Menspro Health itself.

Menspro Health provides administrative, technical, and customer support services, including scheduling, communications, payment processing, marketing, and technology infrastructure.

Any questions or concerns about your clinical care (including diagnosis, prescriptions, or treatment plans) should be directed to your Provider or medical group.

4. Accounts and Registration

To access certain features of the Service, you may be required to create an account. When you create an account with us, you agree that:​

  • You are at least 18 years of age.
  • The information you provide is true, accurate, current, and complete and you will maintain and promptly update it as needed.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You will notify us immediately if you become aware of any unauthorized use of your account or any other security breach.

You may not use:

  • The name of another person or entity as a username that is not lawfully available for use.
  • Any name or trademark subject to any rights of another person or entity without appropriate authorization.
  • Any username that is offensive, vulgar, or obscene.

We reserve the right to suspend or terminate your account if we suspect that any information you provide is inaccurate, incomplete, or used in violation of these Terms.​

5. Use of the Service

You may use the Service only for lawful, personal, and non-commercial purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any manner that violates any applicable law or regulation.
  • Use the Service to transmit, distribute, or store content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
  • Interfere with, disrupt, or overload the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other means.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service, except as expressly permitted by applicable law.
  • Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.

We may restrict access to some or all parts of the Service at any time, without notice, for any reason or no reason, including for maintenance, security, or regulatory changes.

6. Telehealth and In-Clinic Services

Telehealth involves the delivery of health care services using electronic communications and other technologies between a Provider and a patient who are not in the same physical location. Telehealth has potential benefits, but it also has limitations and risks, including equipment failures, security/privacy risks, and incomplete data.

  • Telehealth is not a substitute for in-person care in all cases.
  • Providers may determine that your condition is not suitable for telehealth and may refer you for in-person care or additional services.
  • You may be asked to review and accept a separate informed consent for telehealth before receiving telehealth services.

In-clinic services are provided at physical Menspro Health locations or affiliated clinics by licensed Providers. You are responsible for following clinic rules, safety requirements, and any pre-visit instructions (for example, medication restrictions before a visit).

7. Financial Responsibility and No Insurance Billing

Menspro Health and affiliated medical groups are generally not enrolled with, and do not bill, federal or state healthcare programs (such as Medicare or Medicaid) or private health insurance plans for services provided through the Service.

By using the Service, you acknowledge and agree that:

  • You are choosing to obtain services and products on a cash-pay basis.
  • You are solely responsible for all fees and charges incurred in connection with your use of the Service, including Provider fees, visit fees, products, and any related services.
  • Neither you nor Menspro Health, nor any Providers or medical groups, will submit claims for reimbursement to any federal or state healthcare program or private insurer for services or products obtained through the Service, unless explicitly stated otherwise in writing.

Fees, payment terms, and any applicable recurring charges (such as memberships or programs, if offered) will be disclosed at the time of purchase or enrollment.​

8. Prescription Products and Pharmacy Services

Some treatments offered through the Service may require prescription medications. Only a licensed Provider can determine whether a prescription medication is clinically appropriate for you.

If a Provider prescribes a medication:

  • You may choose to have the prescription filled at a pharmacy of your choice, or at a pharmacy with which we have a relationship, where allowed.
  • Any prescription product is subject to the pharmacy’s own terms, privacy policies, and labeling.
  • Not all medications may be appropriate for all patients, and prescribing decisions are made by the Provider, not Menspro Health.

You are responsible for following instructions provided with any prescription product, including dosing, contraindications, and warnings. Always consult your Provider or pharmacist if you have questions about your medication.

9. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Menspro Health and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.​

Without our prior written consent, you may not:

  • Copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service.
  • Use any trademarks, logos, or trade dress of Menspro Health in connection with any product or service that is not ours.

All trademarks, logos, and service marks displayed on the Service are the property of Menspro Health or third parties. Nothing in the Service should be construed as granting any license or right to use any trademarks without our prior written permission or the permission of the relevant owner.​

10. Third-Party Websites and Services

Our Service may contain links to third-party websites, resources, or services that are not owned or controlled by Menspro Health.​

Menspro Health has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Menspro Health is not responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any third-party websites or services.​

We strongly advise you to review the terms and conditions and privacy policies of any third-party websites or services you visit.

11. Privacy and Protected Information

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and share personal information, including certain health-related information.

When you receive medical services from Providers or medical groups using our platform, certain information may be “Protected Health Information” (“PHI”) under HIPAA or similar state laws. In those cases, your PHI is handled according to applicable law and the Notice of Privacy Practices of the relevant medical group or Provider. If there is a conflict between these Terms and a Notice of Privacy Practices regarding PHI, the Notice of Privacy Practices will control with respect to PHI.​

12. Indemnification

You agree to defend, indemnify, and hold harmless Menspro Health and its affiliates, licensors, and service providers, and its and their respective owners, officers, directors, employees, contractors, agents, and representatives, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:​

  • Your access to or use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including any intellectual property or privacy rights.
  • Any claim that your content or use of the Service caused damage to a third party.

13. Disclaimers

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL INFORMATION, CONTENT, AND MATERIALS AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.​

TO THE FULLEST EXTENT PERMITTED BY LAW, MENSPRO HEALTH AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • ANY DEFECTS OR ERRORS WILL BE CORRECTED.
  • THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • THE RESULTS OR INFORMATION OBTAINED FROM THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE FOR YOUR PARTICULAR NEEDS.

Information made available through the Service (including articles, FAQs, and educational content) is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. 14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MENSPRO HEALTH OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:​

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE.
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE.
  • ANY CONTENT OBTAINED FROM THE SERVICE.
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF MENSPRO HEALTH FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MENSPRO HEALTH FOR PRODUCTS OR SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).​

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.

15. Dispute Resolution; Arbitration; Class Action Waiver

To the fullest extent permitted by law, you and Menspro Health agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (collectively, “Disputes”) will be resolved through binding individual arbitration, and not in court, except that:

  • You or Menspro Health may assert claims in small claims court if they qualify.
  • You or Menspro Health may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

YOU AND MENSPRO HEALTH AGREE THAT:

  • YOU ARE WAIVING THE RIGHT TO A JURY TRIAL.
  • YOU ARE WAIVING THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.

Arbitration will be administered by a reputable arbitration provider (such as the American Arbitration Association) under its applicable rules. The arbitration location, rules, and procedures will be defined in a separate arbitration notice or referenced policy, and if not specified, will default to reasonable, mutually agreed terms consistent with applicable law.

If you do not wish to be bound by the arbitration agreement and class action waiver, you must send us written notice of your decision to opt out within 30 days of your first use of the Service, using the contact information below. Your opt-out will apply only to this Agreement and the account associated with that request.

16. Governing Law

These Terms and any Dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.​

Subject to the arbitration provision above, you agree to submit to the exclusive jurisdiction of the state and federal courts located in or serving Davidson County, Tennessee, for the purpose of litigating any Disputes that are not subject to arbitration.​

17. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms.​

If you wish to terminate your account, you may discontinue using the Service. Certain provisions of these Terms will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.​

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Menspro Health regarding the Service.​

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.
